The European Commission has unveiled its long-anticipated proposal for “EU Inc.” — an optional, fully digital, EU-wide corporate framework designed to simplify how companies start, operate, and scale across the Single Market. Positioned as the cornerstone of a broader “28th regime,” the initiative aims to address one of the most persistent structural barriers facing European entrepreneurs: legal fragmentation.


Today, companies expanding within the EU must navigate 27 national legal systems and dozens of corporate forms. This complexity translates into delays, higher advisory costs, and operational inefficiencies, particularly for startups and scale-ups operating across borders.


The new EU Inc. framework seeks to replace this patchwork with a single, harmonised set of rules that companies can opt into, without displacing national regimes.

According to European Commission, the proposal is central to strengthening European competitiveness and retaining innovative businesses within the region. Ursula von der Leyen emphasised that entrepreneurs will be able to establish a company within 48 hours, entirely online, and at a cost below €100 — a significant shift from current practices in many Member States.

The proposed regime introduces several notable changes:


  • Fast and low-cost incorporation: Companies can be formed within 48 hours, with no minimum capital requirement.

  • Single digital interface: Businesses will submit information once via an EU-level system interconnected with national registers, with plans for a central EU register in the future.

  • Digital-by-default lifecycle: Corporate governance, financing, share transfers, and even liquidation processes will be fully digitalised.

  • Simplified insolvency and restart mechanisms: Startups will benefit from streamlined wind-down procedures, enabling faster re-entry into the market.

  • Improved access to capital: The framework removes intermediaries for share transfers and facilitates access to stock exchanges, while allowing flexible share classes.

  • EU-wide employee incentives: Stock option schemes will be standardised, with taxation deferred until realisation — a key factor in attracting talent.


Importantly, EU Inc. companies will have full access to the Single Market and may choose their Member State of incorporation, while remaining subject to national employment and social laws. Safeguards are built in to prevent abuse, including equal treatment with domestic companies and adherence to local co-determination rules.


Practical Implications


For founders and investors, EU Inc. could significantly reduce the legal friction associated with cross-border expansion. It may also influence structuring decisions, particularly for startups considering relocation outside the EU for simplicity or access to capital.


However, several uncertainties remain. The interaction between EU Inc. and national tax systems, regulatory arbitrage risks, and the practical functioning of digital infrastructure will need careful scrutiny. Additionally, uptake will depend on whether the regime delivers meaningful efficiency gains in practice, not just in theory.
